End User License Agreement
Power Automate Integration - Wave Electrical LLC

This End User License Agreement (“Agreement”) governs use of the Power Automate Integration application (the “Application”), a software integration developed and operated by Wave Electrical LLC (“Wave Electrical,” “we,” “us”) that connects Wave Electrical’s internal business systems with QuickBooks Online, a service of Intuit Inc. (“Intuit”). By using the Application or authorizing it to access a QuickBooks Online company file, you agree to the terms of this Agreement.
1. License
Wave Electrical grants you a limited, revocable, non-exclusive, non-transferable license to use the Application solely for Wave Electrical’s internal business purposes. The Application is a private integration: it is intended exclusively for use by Wave Electrical and its authorized personnel, and is not offered for general distribution, resale, or use by third parties.
2. Description of the Application
The Application exchanges data between Wave Electrical’s business-management platform and QuickBooks Online. Its functions include retrieving financial and project records (such as bills, purchase orders, invoices, reports, and account data) for internal reporting and analysis, and, where expressly authorized, creating a limited class of records (such as estimates) in QuickBooks Online. The Application operates under credentials and permissions granted through Intuit’s authorization process and accesses only the QuickBooks Online company files for which authorization has been given.
3. Restrictions
You may not copy, modify, distribute, sell, lease, sublicense, or reverse engineer the Application; use it to access data you are not authorized to access; use it in violation of any applicable law or regulation; or use it in any manner that violates Intuit’s terms of service or developer policies. Access credentials issued for the Application are confidential and may not be shared.
4. Intuit Platform Terms
Use of the Application in connection with QuickBooks Online is also subject to Intuit’s applicable terms of service. Intuit is not a party to this Agreement, provides no warranty for the Application, and bears no responsibility for it. Nothing in this Agreement modifies your agreements with Intuit.
5. Data and Privacy
Data retrieved from QuickBooks Online is used solely for Wave Electrical’s internal business operations, including financial reporting, project management, and operational analysis. QuickBooks Online data is not sold, and is not shared with third parties except with service providers that support Wave Electrical’s internal systems (such as cloud hosting and workflow-automation platforms) under obligations of confidentiality, or as required by law. Access credentials are stored in an encrypted secrets vault with role-based access control. 6. Disclaimer of Warranties
THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WAVE ELECTRICAL DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA TRANSMITTED THROUGH IT WILL BE ACCURATE OR COMPLETE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAVE ELECTRICAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE APPLICATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. Termination
This Agreement is effective until terminated. Wave Electrical may suspend or terminate access to the Application at any time, with or without cause. Upon termination, all rights granted under this Agreement cease, and any authorization granted to the Application to access QuickBooks Online may be revoked through Intuit’s account controls.
9. Changes to this Agreement
Wave Electrical may update this Agreement from time to time. The current version will be posted at this location with its effective date. Continued use of the Application after an update constitutes acceptance of the revised terms.
10. Governing Law
This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in Palm Beach County, Florida.
